I don't think the PPS is any indication of where the deal is going at this point because nobody knows...i think the selloff from .80 back to the .40's was logical because no deal has been done yet...its still just a potential deal until it is offically formalized..stock is not getting any benefit of the doubt because i think people are still dubious of Romano and co and are waiting for a show me the money..as far as being here in the mid .30 level..if you add in general market conditions and weakness amongst the alt fuel players as a group you end up where were at ....hey we just passed XNL in our share price a second ago....i actaully think the stock has held up fairly well in spite of all the craziness going on although i feel it should be a lot higher...PEIX is having a great day ...up some 15%...not sure whats going on there ...it seems like these alt fuel stocks trade opposite to what everything else in the market is doing..i used to be worried about down days in the market knocking us down....now i'm more worried about up days...order book looks good today thru close and last thursday was a good day...chalk up one more agonizing day on this excrutiating wait.....

Doc, a few points:

1) The DB share issuances are for "partial payment" of the debt, no details in the last few 8-Ks.....so we don't really know how much principal was paid off....

2) It says the officers' shares have been granted, not issued, but it sure doesn't say that for DB....ex:

"""On January 29, 2007, we issued authorized the issuance 4,000,000 shares to Denise Barbato pursuant to the debt consolidation agreement dated January 8, 2004. The shares are valued at $336,000. The shares were issued as a partial conversion of the amount due and payable under the terms of the agreement"""

(note that the date 2007 in the above is probably wrong....and to me, the use of WERE issued means past tense).

3) While the Co touts its "fully reporting" status, they have been out of compliance (or had "weakness", in their words) on more than one occasion.....from the 2006 10-K:

"""We received no reports covering purchase and sale transactions in our
common stock during 2006, and we believe that each person who, at any time
during 2006, was a director, executive officer, or beneficial owner of more than
10% of our common stock complied with all Section 16(a) filing requirements
during 2006, except as follows: (1) Jack Young did not file a Form 5; (2)
Patrick Herda did not file one Form 4 relating to the disposition the one
million shares , and (3) John Powers did not file a Form 4 relating to the
exercise of his 250,000 common stock options
"""

then, they were out of compliance again in 2007 (see last 10-Q for the third quarter).

4) If all these shares are just being "granted", and not issued, how has the outstanding more than doubled in the past 3 years???.....also notice that they say in their 2006 10-K that most shares are freely trading:

"""As of December 31, 2006 our stock transfer agent records indicate that our
company has approximately 530 shareholders holding 53,665,644 common shares. The
company believes that the actual number of shareholders is greater due to the
fact that the majority of the company's common stock is freely tradable in the
public marketplace
wherein individual shareholder information is unavailable or
unreliable."""

I posted the likely Transfer Agent in the I-box, why don't you call them and find the share structure????

or give themselves a nice raise......for doing what, exactly????....and since they said most of the shares are "freely tradable", why is there no voting????.....can a person vote using shares haven't been issued to them yet?????.....where are the voting rights of the peon shareholders with this Co????

the buyout was a TO for all fully diluted shares, until we see a filings, we don't "obviously know" where the funds for the raises will come from.....are you saying IA will not only tender the shares, but also pay the salaries????....if the shares eventually DON'T get tendered, the salary funds will have to come from somewhere else.....take a guess what that source might be....

anyway, we'll have to wait and see what the 2007 10-K and 1st quarter 2008 10-Q has to say in the coming months.....there's lots of conjecture and statements in your post that you put out as fact, but, as I have shown, you're making a lot of wild potshots.....

just like you did when you told us (how many times now???) that the TO is coming in a few days.....I'm sure you know, that even if IA is private, its against SEC regs for them to tell you something like THAT, and not in the public domain....

PS: I'm buying STHK, for an anticipated nice profit in the next few months....
