Just to clarify - my understanding is that 1500 shares of AG become 1.5 Mil ONMC, not the reverse as you have stated. 1 AG = 1000 onmc according to the Doc. According to the doc. there are only 1600 AS of AG and 1500 issued. Standard type of behavior between two merging parties. Exchanging shares. AG has 1600 AS so how much of ONMC do we get for our shars. and vice versa.

The real question would lie in how many share options AG has, since according to the doc. they are excersizable at 1 to 10,000 onmc shares. BLTU

Take another look there doc. it changes 1,500 shares times 10,000=15 million.. It's not a reverse split it's a forward split. And has to do with the members of AquaGold USA shareholders, not ONMC..

Conversion goes, AquaGold usa 1,500 x 10,000= 15,000,000 ONMC..

This is a strange method here and I don't quite understand the point in it all. Especially don't understand why AquaGold USA was formed when this PDF shows AquaGold USA is merging into ONMC.. I mean what's the point?? AquaGold Int is merging into ONMC, solves the merger, and then AquaGold USA is merging into ONMC which all are merging into AquaGold int..

Unless AquaGold USA and its only and outstanding shares of 1.500 have been sold to investors with the understanding these investors would receive ONMC-AquaGold int stock.

If ya'll can understand that..

But it's not a reverse split nor dilution..

Oh yeah, there's an error in it too, which may be the reason it's denied.. Says something to the effect, acording to texas law.. should have said nevada..

Agreement and plan of merger,

Section: Witnessed, paragraph: 5

“Having agreed that pursuant to the applicable statues of Texas (error) and Florida..”
