Sure, Check out Section 126 and 127 of the Ontario securities act. It sets out the various penalties that can be applied on conviction including fines of up to $1 million per violation, disgorgement orders, various bans on serving as officers in public companies, etc

After they investigate and decide whether and or what to impose on the defendants in response the allegations. Then they move onto suggesting criminal charges if they see fit.

Its kind of like when you get a speeding ticket up here, its not a criminal offence but a contravention of the highway traffic act. Don't know how it compares to the US process exactly but i believe it is quite similar.
