Why is everyone hung up over reverse mergers?

Nevada witnessed an accumulation of failed small businesses for one reason or another.

They stepped in to do something about it by making it prohibitive to start fresh with a new Nevada registration (in fact did they actually ban new registrations?). They made an offer "new companies" could not refuse (cheap/low fees).

Then any new small business could buy up a defunct Nevada business license and just update and reverse merge them into a new business.
