Spin: So you believe Wave will now pay a 39% penalty instead of 24% and that SEC will drag its feet to ensure that will occur? Your scenario does not recognize the 8k/A as progress and we have nothing but worse case to look forward to? Have I got the right? TIA

You should write for Rupert Murdoch - you are quite good at sensationalism. The wording in the filing is dense but:

there appears to be an Effective Date for approval. If things don't come together before then or if something adverse happens after the registration requirement is satisfied, there is a 2% per month liquidation payment - so that would be 2% times the amount of sales or roughly $140,000. I hadn't realized it but it seems the warrants only come into play if they are in the money. The interest on non paytment only occurs if and when Wave does not make the payment.

Making the effective date 90 days ago is an interesting theory but it makes your headline (eg Rupert Murdoch). I also like the 39% based on the supposition that Wave could never pay that given that they didn't relaease a blockjbuster PR before IDF. If it does become due, you seem pretty certain they wouldn't pay it. Rubert Murdoch

You seem sure wave had no options in terms of the terms. Yet we know that not everybody's allotment was satisified and that this funding met wave's needs. I'm sure there was negotuiation on both sides -- do you have some sort of benchmarks for terms of deals like this. I realize they vary - this one was much better than the prior one and i am wondering what are the standard liquidation clauses since I am certain they are almost always there.

You also have concluded that waves filings are deficient in that they are not keeping up with the daily PR's from the leech law firms. You also questioned how we couldn't know that each of these firms are not actively investigating Wave's officers. Well I'd be surprised if any of law firms were doing anything yet but it would be generous to think that the photocopying firms would then do research.Thety may not even know who Wave is.

All I know is that SEC was investigating Wave. I don't know that they are not done already. I don't know where the registration statement stands and what dialogue has occurred between the SEC and Wave relative to it. I'm glad that you don't believe the X files but Rupert would like the way you threw in the part about Trippi and Dean.

Your style of edits and lengthy prose makes it tougher to respond to you. But so be it.
