Amendments to Regulation SHO

AGENCY: Securities and Exchange Commission.
ACTION: Final rule.
DATES: Effective Date: October 15, 2007.

SUMMARY: The Securities and Exchange Commission (``Commission') is
adopting amendments to Regulation SHO under the Securities Exchange Act
of 1934 (``Exchange Act'). The amendments are intended to further
reduce the number of persistent fails to deliver in certain equity
securities by eliminating the grandfather provision of Regulation SHO.
In addition, we are amending the close-out requirement of Regulation SHO
for certain securities that a seller is ``deemed to own.' The
amendments also update the market decline limitation referenced in
Regulation SHO.

I will never intentionally mislead anyone and I hope you know this. Since none of us really know "what is" we really can't say "what is not" with that particular situation and with CBAY.

From going back looking over your assessment, we will just have to "agree to disagree" with your thoughts. I will go back and re-read some things, but I think you should too. Such is a debate I think we need not get into. Time and price ultimately will be the two variables to prove who is right or wrong through actions speaking louder than either of our words.

I apologize to you and everyone now if it proves that I have "unintentionally" misled anyone. I wish you well.

Wrong.

The grandfather clause has nothing to do with the date SHO was enacted, it concerns the short position which got it to the SHO list IN THE FIRST PLACE. In other words, the grandfather clause exempted fails to cover that happened prior to a security being placed on the list, not prior to August 2004.
