I was involved with PHOX merger with RE Pipeline.Com around 1999-2000

We raised under $400,000 in new capital
Developing software is much more expensive than registering offerings and filing full reports. We did both at PHOX RE Pipeline.com with very little capital, even sued the previous promoter to cancel most
of his illegally issued shares and had him serve jail time! ( he left the country while on probation and the federal judge Joe Fish went nuts on him. We even rescinded the last private placement he made and offered full refunds to those investors.

We gave it the old FSU try, investing ourselves and getting old friends and college teammates to invest also. When we took over the shell PHOX traded to $2.25 but settled back to the .25-.50 level for the next year. We got our private placement shares registered but few people sold out when the were able to. We hit the VC market at the wrong time and never got significant money to back the business plan.

Photonics was a clean shell of a California technology company that traded as high as $40 and was run by an honest inventor from Intel
