I see it the way you do, also many forget what PAVC has endured the last six months and still is, yet the Company is moving forward in its plan. IMO the LOI will happen.
I have been pretty accurate on my PAVC posting.

I would truly have liked to have seen a profitable quarter it would have made the restriction period a whole lot easier to bear, However, tax I don't think it is as bad as you make it out to be.

The decrease in revenue was due to getting rid of the less profitable sales margins that they had. Getting rid of the lower margin items is a good move by the company even though on the surface some may take it as bad because of the decrease in overall sales revenue. This is a big part of the reason for the decrease in overall expenses as well, which provided for overall less losses.

The loss per share for the 3 Mos. ending 6-07 was .02/share and 6-06 was .08/share.

FOR THE THREE MONTH PERIOD ENDED JUNE 30, 2007, COMPARED TO THE THREE MONTH PERIOD ENDED JUNE 30, 2006.

For the three month period ended June 30, 2007, the Company earned revenues of $1,322,439 as compared to revenues of $1,417,623 for the same period ended June 30, 2006. The changes in revenues in 2007 are a result of the Company’s continued efforts to restructure its business and product offerings, and its efforts to minimize the sale of products with lower margins.

For the three month period ended June 30, 2007, the Company incurred operational expenses of $616,255 as compared to $1,045,323 during the same period in the previous year. These operating expenses included: consulting fees of $95,171 and $103,000, wages & benefits of $171,246 and $178,495, and professional fees of $212,561 and $118,834 for the three month period ended June 30, 2007 and 2006, respectively. The variation in expenses from June 30, 2007 as compared to the same period in the previous year is due to the continued efforts to restructure its business operations and reduction of debt.

The Company incurred a net loss from operations of $730,408 for the fiscal quarter ended June 30, 2007, as compared to $1,054,734 for the same period in the previous year.

ajman, I give them a 'D+' for the quarter. It wasn't a complete and utter failure. I am glad they reduced expenses, but the fact that revenue fell is for me the most unexpected disappointment. If anything, I'd expected to see a significant increase in revenue accompanied by a slightly higher net loss.

I definitely don't think the report is good and won't translate into increased buyer interest in the near future though. Not in my opinion. You can't have falling revenue, an increasing net loss/share over the previous quarter and expect it to lead to a buying frenzy. I really don't think we'll see a big pop as a result of this news, but I could be wrong I guess. I hope so. We'll see what happens tomorrow.

Until we see terms for the Detroit deal, assuming it proceeds well, I think we'll trade around the same range we've been trading for the past few weeks, edging down slightly until the next news or another trading anomaly.

The company will be doing ADDITIONAL and SUBSTANTIAL dilution according to the filing. So all forecasts of EPS or Loss per share means nothing. The OS will be massively higher. With many security offerings ready to go and a massive amount of shares needed to be issued to keep the doors open and sustain operations it is going to be quite ugly for a long time imo.

They are also looking at restructuring existing debt at a steep discount to the already low market value.

Company has been saying that revenue will be HIGHER. Well, they didnt say it WOULD BE, they did the normal penny speak and said they EXPECT it to be higher. They said this many times and what does the filing show. REVENUES were LOWER. The excuse? They cut out selling of products with low margins? LMAO!! If the product was making one cent in profit the company needs it!! So did they cut out products that were losing money and if so, why are they selling products or services for a loss? Even with the excuse of why the revenues are lower, why arent they higher? What happened to all the B.S. from the company stating they expected higher revenues from this that and the other? In fact, they made it seem like shareholders should expect to see much higher revenues, not just higher rev's. Instead the rev's are lower, they dont have enough cash to buy a used car (funny that they have $4500 in cash, but PR'd just recently that the deal to buy DPC will be CASH and stock. Gee, did they not look at the balance in the checking account before they PR's they were doing a multi million dollar deal and would pay for it in CASH and stock?), they have stated they may be forced to shut it's doors or shut down certain aspects of their business and they further stated the future deals may have to be put on hold or put off all together.

Lastly, how can anybody think this filing looked good? The company has no cash and obviously lied yet again in the latest PR when they led people to believe that revenues were growing and they had enough cash on hand to do a part cash, part stock aquisition, when very obviously they knew they did not have any cash. IMO, nothing this company says or PR's should be believed. How many lies must be spoken before people start listening and seeing the facts as they truly are?

Littered throughout the filing was very clear comments that they are having serious issues, serious monetray issues and ADDITIONAL and SUBSTANTIAL dilution is on it's way.

Losing 3/4 of a mil in a 3 month quarter means this company is losing a lot YOY. With revenues going down, losses rising and massive dilution on it's way, how does this company EVER plan to show a profit? It's not like they have high dollar products with massive profit margins. IMO, if they did not dilute a single share, this company would still never show a profit per share. Yet with massive dilution investors are expecting to see this company start showing a good eps with big profits?

IMO, this company is on it's death spiral and only massive dilution and shammy deals will keep them afloat. I expect both and I do expect the dilution to be massive. With $4500 in cash and them having to both raise cash as well as restructure debt, they don't have many other choices.

This was not a pretty filing imo and once again shows nothing the company says should be believed imo. The company itself has said things were going great and they have told investors that caleld that things were going very well. This filing proves they were full of B.S. and things were not and are not going well at all.

Frankly I am very disturbed that they put out the PR very recently saying they were aquiring ALL OUTSTANDING shares of DPC in a CASH and stock deal. This stinks of manipulation. They tried to give the impression that things were so good they were aquiring DPC with cash and stock, knowing they had no cash when they put out that pr, and stated they had many other aquisitions they were working on. Only to file and show they have no cash and also state that any aquisitions may have to be put on hold or put off all together if they cant get cash or financing.

They will be looking at every possible way to get money. The hedgies will have a field day with PAVC. But I for one, will contact the company and see what they are offering to private investors in the form of PP's and what the terms are.

Good luck to all investors in PAVC. I think it is very clear that luck will be sorely needed for PAVC to succeed.
