there are 5mm shares authorized. 4mm were issued previously - 3.5mm to CB and 500k to three consultants per the filings. However, the three consultants converted their prefered to common I think in 2005.

Thus, there are 1.5mm shares authorized but not issued (5mm less the 3.5mm CB holds).
