mngmnt will need to do another proxy...with closer ties to a reality-based shareholder concern.

Failure of THIS proxy is no big deal; passage will be a futile excercise in mngmnt restraint. The cookies that they would be enabled to eat will have proven too delicious to resist, IMO.

A tax-free, yearly, 500K grant ( effectively closer to 800K ) to as many as 100 employees is really too rich a proposition, and shall result in too much shareholder dilution for the long-termers.
