Was this language in the option plan that Wave is currently working under?
If not, maybe they can't reissue any issued underwater options.

mymoney, the quote in your post reflects that if the proxy passes, shares in expired options can be reissued. I believe you posted the question why does Wave need any additional shares for options, why not reissue expired options. My point is maybe the current option plan does not allow Wave to reissue, therefore a need to include in this proxy. I don't know what the current option plan states about the ability to reissue shares in expired options.
