If they restrict shares in exchange most people will sell before and rebuy in open market of unrestricted share. IMHO they cannot exchange restricted shares for free trading shares.
That's the thing. There's a reason why they are restricted off the bat. They may try and release them a few months later or a year(s) later. The agreement just stipulates the process not the hard dates.
