The Auctus loan contract has not YET been declared illegal, but that's what Basile's appeal intends to establish in appellate court! They contend that there is clear precedent of similar convertible notes being declared null and void due to the fact that the toxic lender was acting as an unregistered broker. And they were the legal team that established that precedent.

Once again, you NEVER cited a specific statement by the judge that he dismissed the lawsuit due to a jurisdictional issue. And I NEVER said that I wouldn't accept that proof -- only that it would be made irrelevant should the Appellate Court agree with Basile's point, based on highly relevant precedent, that a convertible note is a form of security. That would then make the loan agreement illegal -- including any jurisdictional clause it might contain.
