On May 9, 2021, Synergy Management Group, LLC was appointed custodian of the Issuer by order of the Circuit Court of
the Eleventh Judicial Circuit, Miami-Dade County, Florida. Cause no. 2020-022548-CA-01. Pursuant to such order, the
custodian was charged with, among other matters, reinstating the Issuer’s corporate charter. The custodianship proceeding
remains open as of the date of this report. I, Ben W. Quick certify that:
