Quick look, it appears to me to be a three-way-
One public, one privately held, both merging and becoming a subsidiary of the parent (Urgent.ly)

(Otonomo Technologies Ltd. (Nasdaq: OTMO) ("Otonomo") and U.O Odyssey Merger Sub Ltd ("Merger Sub") (the "Merger Agreement"), pursuant to which, among other things, Merger Sub will merge with and into Otonomo, with Otonomo surviving as a direct wholly owned subsidiary of Urgently)

I started reading the associated filings and realized I haven't had to do this for at least a decade now.... and now that I'm retired, I'm not nearly as interested lol..

Waaaay too much math and DD for me at this stage of my investment life.

But I certainly wish you the best of luck and I will watch this for awhile to see what happens😉
