They can’t be close to getting the deal done if they are certain they can’t complete it within 5 weeks by end of November and need up to another 13 months to get it done. It’s time to quit making excuses for these clowns. Why are they 6+ months behind on filings anyway when they don’t even have any operations? It’s paperwork that could be done in less than a week.

I don't think they can file an S4 without 3years of audited fins for both entities.
They can't even file an audited 10Q.
I'm guessing that is what is holding up this whole deal.

Their main goal is not to get delisted from NASDAQ , without being on that market tier CC goal of NASDAQ is not fulfilled with this SPAC. That is not IMO its a major fact. Just think we were hoping for results out of Africa this month, instead we are waiting to hear that it even started. So what type of PR will CC put out tomorrow. GLTA

The SEC requires that the target company provide two years audited financial statements.

And I am not certain that Kostiner can pass SEC comments.

It is a bad look for SAGA/Kostiner not to have filed the Q1 and Q2 - SAGA isn't conducting any business so the financials are extremely easy.

It took 7 months for the SAGA S-1 to pass comments.

And with all of the SPAC scams I am certain the SEC will be taking a much closer look at the S-4.

And the fact that SAGA increased the acquisition price by $200 million.

But I have a feeling that someone will contact the SEC about the transgressions of ENZC.
