"Already authorized?" How could they issue new stock that WASN'T "already authorized?"

It's labeled "new issuance" on the Disclosure Statement. Staelin said specifically "we have not issued any new stock." Sorry, it's a black-and-white lie by Staelin. He didn't say "we haven't increased the number of Authorized Shares" and he didn't say "We didn't do a reverse split." He said "we have not issued any new stock."

You appear to be confusing Authorized and Outstanding

It's a common mistake among beginning investors.
