k f*x you are correct they cannot convert more than 4.99 of the common stock at one time.
This means they could convert up 251 Series F stock into 35,857,107 shares.
These shares would have to get deposited into an account and clear.
Then they would have to sell them shares to get back part of there $1,000,000 investment.
After they sold them shares then they can convert up 263 Series F stock into 37,571,391 shares.
These shares would have to get deposited into an account and clear.
and repeat.
Now they do not have to convert any shares at all.
It is in their best interest just as it is in the DLOC stockholders best interest that they do not dilute to many shares at one time and cause a panic sell in DLOC stock.
If they convert and cause a panic sell off and DLOC sells off in a panic then they may not make any more money on their $1,000,000 investment.
It is in there best interest not to cause a panic sell.
The higher the stock price the higher the profit they make on there $1,000,000 investment.

WHY WOULD THEY SELL BEFORE THE COMPLETE TECHNOLOGY IS RELEASED INTO THE NEWS OF CUSTOMER INTEREST IN USING THE TECHNOLOGY!?!

Examples:

If DLOC goes to 3 cents a share and they convert 251 Series F stock into 35,857,107 shares, that is $1,075,713 on a $25,100 investment. At which time they got their FULL original investment back.
The rest would be all profit.

If DLOC goes to 5 cents a share and they convert 251 Series F stock into 35,857,107 shares, that is $1,792,855 on a $25,100 investment

If DLOC goes to 10 cents a share and they convert 251 Series F stock into 35,857,107 shares, that is $3,585,710 on a $25,100 investment

If DLOC goes to 25 cents a share and they convert 251 Series F stock into 35,857,107 shares, that is $8,964,276 on a $25,100 investment

If DLOC goes to 50 cents a share and they convert 251 Series F stock into 35,857,107 shares, that is $17,928,553 on a $25,100 investment

If DLOC goes to $1 a share and they convert 251 Series F stock into 35,857,107 shares, that is $35,857,107 on a $25,100 investment
