I do not think that it says they can buy no more than 4.9 percent of their shares at a time. I believe it says they cannot buy such that they own more than 4.99 percent at a given time. I think 5 % and above ownership triggers reporting or other accounting and finance issues.

As far as a reverse split, I think the market sees an increase in Authorized shares less negatively than a RE but who knows.
