The taxes is at his earned income tax rate not capital gains rate and he must pay federal , state and local taxes on this income.

My assumption is his costs involved in his transaction were: ($1.6/sh*500K shares)+($8-$1.6)*ordinary income tax rate of ~45% in NYS = $800K + $1,440,000 = $2,240,000

He sold $2,144,00 worth of stock to cover most of the cost.

My numbers could be off by a percent or two but this is probably pretty close.

"In the Weeds" tax consequences of the transaction more than likely involved:

Current withholding for future consideration of 268,000 X 6.3875 treated as normal income.
Retention of 232,000 shares tax deferred until sold, capital gains rate after 12 months.
EVERYONE's tax decisions are personal.
The ration of sold retained seems very conservative from a tax perspective.

I thought my post was pretty straightforward.

Confirmed... Missling exercised 500k shrs and sold 268k.

"Anavex Life Sciences Corp.'s President and CEO just picked up 232,000 shares"


I responded with the following...

Since Dr. Missling could've easily sold those 232,000 shares on the open market, I now consider them as a purchase...and thus, he's now invested $1.9 MM in AVXL shares.

232,000 shares x $8.15 (which is the closing price) = $1.9 MM

IMO, this represents a purchase from an insider. (Thank you Dr. Missling!)
