Your not lying you are just massively miss informed... READ the filings, there are no notes and there is no convertible debt that can be converted... Pennys are hard for some to grasp, but a company can not just sell shares willy nilly shares are sold by outside note holders and there aren't any with any notes that can vert at this time.
When you see a stock drop like this just did, its just someone who wants out...they expected a run from the news...there wasnt one so they put in a market sell and it went down... This has happened before and it will bounce back just as fast as it went down
