You are clearly entitled to your opinion, and I will even say that you could be right. However, imho, it is hard to believe that PG didn't get the message loud and clear.
-2 incumbent BOD sacked.
-the shareholders did not approve on a non-binding advisory basis, a "say on pay"
resolution regarding the Company's executive compensation, by a landslide.
-the shareholders did not approve the Company's Amendment to the Equity Incentive
Plan, by a significant margin.
Even if he thinks he is safe, it is clear that he will never more get approval for any ideas to enrich himself. He sees the exit down the hall.
