Duffy is not lying to the SEC, he would inadvertently drag his brother, Defudis and others down with him. Most people fear jail time, disgorgement and being barred from ever holding positions in public companies.
FYI: SEC filings (such as S-1's, S-1/A's, & 10-Qs) go through a comprehensive approval process that involves lawyers as well as third-party accountants & auditors -- all of whom would be liable for allowing XERI to mislead investors and/or misstate facts. Accusations of fraud need to factor in the reality of the situation and should not be casually thrown around.
