The 2023 ESOP proposal has to be voted in by the majority of shareholders. The shares that were utilized for the Reverse Split Proposal and increase of Authorized Shares were limited to those two PROPOSALS ONLY. There has not been no amendment on record to change that agreement, Therefore, the 2023 ESOP PLAN Proposal could be voted down by a majority vote.
