I'm no legal beagle, but the problem I see for Karim is that he wasn't fired, he resigned (Big difference). He chose to terminate his employment. Regardless about the "Change of Control." we're not privy to all the circumstances or what was said behind closed doors.
It's like trying to get unemployment payments when you quit a job vs being terminated. I tried in my younger days, of course that was many moons ago.
