Phil / Henry share dilution machine which has little to no revenues & assets. The only way for them to get capital is to borrow at a discount of 40-50% against future shares. These loans are called "toxic convertible loans" because they flood the market with new shares.
The dilution is done by note holders of convertible loans granted 6 to 12 months ago and never paid back. Lenders recover their money at maturity date either by getting paid up or by converting loans at 50% discount to average 10-day share price and then sell those newly issued shares at the market to willing buyers.
Henry knows of upcoming conversions (he gets notices to pay or convert) and tries to support the SP by issuing positive PRs & tweets while lenders are selling new shares.
The O/S counts get updated by the transfer agents periodically, most often around the time of posting the financials as the updated share counts must be included there.
