The most interesting aspect of this discussion is:

Who actually owns the company? Who would a prospective buyer be negotiating with?

Could a minority share holder, e.g. Kelly Whelan, sell something she doesn't own, i.e. Bioelectronics Corp.?

While we're at it, how did a minority shareholder declare herself CEO in the first place? Ok, forget that last part, that's water under the bridge as they say.

Not much of a comparison to a US company that has the EXIM Bank as first in line for any assets.
