We all know that the AS increase is mostly to make good on the equity commitments already, including the C shares, and a modest amount more.
If they sold 500 million in common via the C prefs (to a large investor(s)) then thats a material event that needs to be disclosed. Since we have not heard anything it did not happen.
We also know we risk a RS otherwise as stated in the proxy materials.
I can be written in the constitution, however, according to Delaware law, an R/S needs a majority of all Outstanding shares just like the increase of A/S. So if the increase of A/S will not make it because less than 520 million voted yes, then I dont see an R/S happening either.
