According to Delaware law, a vote to increase in A/S is NOT most of the casted votes count. They literally need 527,479,838 to vote a hard yes. THUS absence of a vote is the same as a NO vote.

Lets say they are 1000 O/S with a listed Delaware company. Proposal to increase A/S

650 vote
350 abstain from voting
450 vote yes thats 69% vote yes from the votes cast
Still, the proposal to increase the A/S will be denied for 350 abstained + 200 no votes = 550 voted no OR did not vote = 55% no OR abstained vote. Therefore Im saying an absence of vote is the same as a no vote
