FOJCOL, respectfully, you are over thinking this. The main purpose of a subsidiary merger (ie. RSAMMDA LLC) is to protect the buyer (RSAMMD) from the liabilities of the target company (TXTM).

The subsidiary, RSAMMDA LLC will be liquidated thereafter.

The BOTTOM LINE is RSAMMD and not the temporary subsidiary (RSAMMDA LLC) acquired TXTM.
