There are definitely two entities.
1) RSAMMD, and
2) RSAMMDA LLC (now TXTM)

It is the principals of 1) and not 1) itself which owns 2).
It is the management of 1) which has taken over management of 2) (now TXTM). This does NOT make 2) a subsidiary of 1)... only closely associated.

From what I read, 2) does not yet have business operations, but rather has only been created to explore possible acquisitions and to monetize some unspecified extraction technology... a TXTM token is also mentioned.
