In this case, both actions were legal...

BUT THE RESULT OF MANAGEMENT'S ACTION WAS THE COMPLETE DESTRUCTION OF SHAREHOLDERS' INVESTMENTS!

There is no way management gets a pass on this action from the hundreds of investors that had their investments rendered nearly worthless by their actions!

Nor should they get one...
