The undersigned, David Mersky, President of the Company certifies as follows:
That the Board of Directors of the Company, consisting of David Mersky and Booker T. Evans, by unanimous vote on February 26, 2022, adopted the following Resolutions;
RESOLVED that the resignation of James Staudohar as a Director, which was received on February 23, 2022, was accepted.
It was further RESOLVED that pursuant to Section 13 of the Company’s bylaws Eric Stoll was appointed a member of the Board of Directors to fill the vacancy created by Mr. Staudohar’s resignation and to serve until the next shareholders meeting
