There is little doubt that Fife is aware — at some level — that TLD and other actions taken by the company indicate likely approval of DC Vax.

The question of whether or not he signed an NDA is a separate question. And not that important in guessing what he knows or doesn’t.

Just by virtue of entering into a credit arrangement based on information shared by management, Fife as an insider has a fiduciary responsibility to maintain business confidentiality that would subject him to civil legal exposure if he violated that confidentiality - no difference than if he violated the terms of a NDA.

There is no benefit for Fife to sign an NDA, so it might have refused and left it in LP’s court to decided to do business with him without one.
