"Certain Indemnities" ... meaning an Indemnification clause could be written into the Merger agreement/Documents...that promises to Indemnify, or compensate the Merging entity of any losses that either arise now or down the line as a result of pending litigation being settled. (All my words as a non-attorney spokesperson, lol)
A possible scenario that I see is that CUBV could hold part of the shell purchase price in escrow, to pay for the litigation when it settles. (IMO)
If the Merging entity is as interested to get this done as we are, I see it as a way around the pending litigation in the short-term. ?
Parties want to complete the merger. It’s evident that Morgan wants to complete the merger.
So far he has been transparent as he could be.
1.He spoke of the Transfer Agent and he moved it like he said was doing.
2.He got CUBV current. He completed the filings. Like he said he would
3. There has been no dilution. SS updated in November like he said there was no dilution.
4. He spoke of litigation and it was verifiable VIA the courts and public record. He is trying to finalize and move forward from litigation and public record is showing this. Like he said he would do
5. I see a CEO trying to deliver but again. The deal isn’t done till it’s signed sealed and delivered. But I will continue to exercise more patience. Things aren’t moving as fast as everyone would like but things are moving.
If we get it or not just want to say thank you to The people on this board who has done significant due diligence and put forth a lot of effort to try to decipher everything that’s going on. It’s been an honor to be apart of CUBV with you guys win or lose. Hoping for the best here for all of us. Prayers up for a closed deal for Morgan and everyone else involved .
