What is the problem? Obviously it was formed exactly for this deal.
Yesterday I formed 3 companies here in Germany, a so called "zweistöckiges Holdingsystem"(two-story holding company system).
Holding GmbH & Co. KG - (My family holding where I own 100% of the capital)|

I did this with a special purpose. This way, instead of paying about 52% in taxes over the profits of the operational GmbH, I will transfer them to the first Holding and from there to my personal Holding on top, paying only 1.5%.
Hundreds or thousands of companies are formed every day with a certain purpose, and I am sure they formed this company just a few days ago for a certain purpose. People do this every day. Nothing misterious here.
