Yes, such consulting arrangements are NOT material. It can and likely would be argued by any competent counsel.
Hiring counsel or any advisors to explore future options or ways of managing one’s listing or any number of legal planning arrangements or listings or expansions, or any kind of person who might help a company think about future issues… none of that is necessarily material. They are not c-suite executives, they are there to talk about possible options and possible futures. So no, it’s not material and there is no “faulty” or bad disclosure. And besides you know about it anyway.
