I'll add a few things to your already great summary:

1) the management folks are experienced business people
2) the company appears to me not to be selling to raise funds...I think the chart alone will back that statement
3) yes we could see folks from the merger sell when their stock becomes unrestricted but as Jim said they are family and friends and he doesn't expect much of that
4) the addition of Robert Fidler to not only their BOD but their funding capability is enormous from what I can see. According to Jim he is not only offering anyone across the nation who qualifies for a franchise matched funding or 25/50/75% in some cases but is forming LLC's with some of these folks AND Unique Pizza for some franchise stores
5) Jim said when they go further (beyond the next step of the bb) he does expect a r/s of some sort to qualify but he feels that it will not have a major impact because a) he owns 90% of the stock and b) he feels the revs will absorb that impact.
So if it looks appealing they should get some investment institutions to take notice for coverage and absorption of shares IMO
6) the business plan while not on target according to PR's is moving forward according to most locations listed and the cc verifies this

Enjoy you posts. How do you know "$$$ from franchisees keeps coming in"? This is very important information.
A market fall or pullback will help UPZS, IMO. Investors move from "Blue Chips" to speculative stocks during those times. Not dollar for dollar but sell high priced stocks and nibble at low priced ones. Low priced stocks generally fall less in a market pullbacks.
