No, they have not said they would not raise the OS. They said they would not raise the AS. They stated that they have not done a major dilution, but there are still about 90M shares that can be sold as a result of the S1 being approved.
He's just trying to raise cash by selling the remaining shares in the treasury to private parties. The price would have to be advantageous for anyone to buy them.
