Nope. That’s SHMP’s wishful thinking and an attempt to codify the Shover “ settlement”...even though there is no settlement to date. It’s also apparently an attempt to not exceed the number of authorized shares...at least on paper.
That’s why SHMP had to cop to reality on page S-15 and say essentially that they picked that number by excluding all of those other shares that they listed.
The Series A shares are what SHMP says they are on S-15...convertible to 544 MILLION COMMON SHARES.
Any potential purchaser of the shares offered via that prospectus will base their decision...and price...on reality. Not SHMP’s wishful thinking. Maybe that’s why we haven’t heard about any takers so far.
