I never said the company can’t sell its equity to raise money, of course it can. What IT CAN’T DO is sell it directly into the PUBLIC markets...under any circumstance.
In order to understand what I am talking about one would have to understand the difference between RESTRICTED stock and FREE trading stock as well as Rule 144.
And frankly I am not going to spend the time to get into that.
But suffice it to say, absolutely NONE of the selling today was by the company, nor the result of any conversion of Pref B’s, or warrants or frankly even common stock the company may have sold in a PRIVATE placement to someone within the last year.
So start with Rule 144 and what restricted stock is, and if there are any specific questions I would be more than happy to answer.
