They broke the rules on insider trading in that they COULD have been trying to benefit using insider information.

I believe what was said is that the two employees made trades during a blackout period. Company-imposed blackout periods don't prevent the company or a major stockholder from selling securities as long as the company is able to meet its duty of disclosure. Not doing so violates an SEC rule, but doesn't break the law.
