SHMP specifically said they would be filing documents for the uplist WEEKS AGO. It's reasonable to conclude that would mean the R/S, which, as you point out, is needed for SHMP to meet the bare minimum requirement for NASDAQ (although I believe SHMP fails for other criteria for the bare minimum and has to aim higher).
I've always believed that NASDAQ was a NaturalRedherring for the R/S SHMP needs to allow for conversion of the Class A shares. I still believe it.
But putting that aside, SHMP will be coming very close to the authorized share limit of 900 MILLION with this $100 MILLION S-3. So, regardless of NASDAQ, SHMP will be doing an R/S IMO.
