10. Describe any unusual particulars of the transaction (i.e. tax “flow through”
shares, etc.) Subscribers will be granted two year pre-emptive right to
purchase, on future equity security issuances, during the 2 year period, an
amount of shares at fair market value sufficient to maintain the subscribers
percentage holdings in the company. Subscribers have agreed for a period of
two years to vote shares with management on general meeting matters.
11. State whether the private placement will result in a change of control. No.
Because the purchasers are both insiders of the Company the private
placement will be subject to approval of the minority shareholders under MI 61-
101 and accordingly will not close until after it is approved at a meeting of the
shareholders called for that purpose. Closing will take place within 5 business
days of the required shareholder approval.

I don’t remember reading anything about the 25 million warrants Ensorcia and evl have. Can you find where it says that in the original filings? Also, the math is wrong. Something is off.
