So, knowing BRPA shareholders own 5% of the new company and for the current SP to be maintained, the MC of the NeuroRx needs to be $3.1B. I read somewhere that the Enterprise value was expected to be less than $1B.

To me, there seems to be a disconnect with regards to the value for BRPA stakeholders (stock, rights, warrants and units holders) currently and when the merger is completed.

Am I missing something?

I saw the same thing on the Faraday deal with PSAC, in which PSAC stakeholders would own less that 7% and for them to receive current price, the MC would need to be $8B, yet EV was projected to be $3.4B.
