Yes, it is a requirement for uplisting, and last I looked we had two out of three independent directors required. I'm sure someone can correct me if I have this wrong.
The 8K that updates having an independent Board of Directors will be a signal in itself.

OK, I will give you that as to being needed for an uplisting. One can be thrown together quickly as all big shots want the bucks and little work that being on a board entails.
But "independent" is a joke - if that were the case we wouldn't have so many outrageous CEO salaries and, even worse, golden parachutes whether they do well or not for the shareholders.
