Yes. Must be a shareholder on deal closing to obtain CVR.

Share price would move close to buyout price on announcement (but remain under, barring expectations of more bids) as arbs play their games.

If anyone sells, even in tax free IRAs, they will miss out on CVR as they wouldn’t be holders on deal closing.

Potential value of CVR will be the decision factor to take profits (and reinvest elsewhere) or ride it out to closing.

Correct. You need to exercise and own the stock prior to closing to receive any CVR...however....the price of the option itself might reflect some additional value of the CVR over and above the stock price
