Even if Koru uses the Business Judgement Rule I think there's enough mistakes for lawyers to get involved.

The problems at KRMD did not appear overnight. The investors should have been given a more timely indication of soft sales.

As I read the Frank Cruz PR, he is fishing for signs of interest among investors. If there is no interest, and his law firm will not make money, then nothing will happen. I will be looking to see if any other law firms follow the Cruz lead. If not then I will assume this legal thing is DOA.

Insider buying December/November 2020. Over 50K shares purchased by insiders.All the shares were purchased at prices higher then the current stock price of $4.13. The stock hit an intraday high of $6.50 on 12/21/2020. On 1/25/2021 the company announces preliminary results and CEO transition.

Draw your own conclusions. I am not in their shoes, do not see the emails and do not go to their meetings.

**i tried to be accurate but I might have missed an insider activity.

Manuel Marques, Chief operating officer and board member sold 27K shares at $5.53 and it looks like he then exercised options to buy 62.5K shares at $.5 and exercised options to buy 75K shares at $1.57. All of this activity happened on 12/12/2020.

I have not read of any additional law firms following the Cruz lead, which is interesting. No telling if there is a lack of investor interest, a weak case, or not enough value in the company to pursue.

I am sure that KRMD is speaking with counsel. If i was them I would be looking in the mirror and would not be surprised to read an announcement of of management or board changes, And if I was them I would be adjecting the growth parameters.
