If there were side deals without notifying UOIP shareholders. Wouldn't those deals be paid out from Carters 900 million shares? Or could those deals be voided and let those entities sue Carter in the after math.

If Carter has standing to file the lawsuit - then he can create a waterfall that benefits him - he can also create a waterfall to make Leane happy - it is obvious he isn't going to pay UOIP shareholders.

Shareholders can file a lawsuit similar to Leane but she has a contract - UOIP shareholders are last in line to be paid and UOIP has been suspended and revoked.

UnifiedOnline is a private company and Carter can do anything he wishes - he can create another Class of Preferred shares that control 100% of the voting.
