Ahem- that's one way of looking at it. Another way is as follows: Historically, Delaware had the most liberal "corporate governance" laws, which was by "design" as it is a huge revenue generator in filing and annual fees. The downside, is that these very liberal "corporate governance" laws are not always in the best interest of the shareholders (as explained to me many years ago by Marty Lipton* himself when I but a young and ambitious puppy lawyer. *Inventor of poison pill defense, which was first upheld by Delaware Chancery Court- you can read about it here https://en.wikipedia.org/wiki/Shareholder_rights_plan

Now Wyoming has one-upped Delaware in what a "corporate entity", its board and officers can and can't do - again and solely as a means of revenue generating.

As they used to say on TV when Capitalism was still considered a good thing and hard work and perseverance was still encouraged in the Good Old USA, "The More You Know"
